Terms of Service

Welcome to PixelNotes! These Terms of Service ("Terms") govern your use of PixelNotes application and services ("Service") provided by Creative Pixels ("Company," "we," "us," or "our").

1. Acceptance of Terms

By creating an account, accessing, or using PixelNotes, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using PixelNotes on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

PixelNotes is an AI-powered note-taking application that provides:

• Note creation, editing, and organization tools
• AI-powered suggestions and insights (PI Assistant)
• Multi-language voice input and transcription
• Search and discovery features
• Team collaboration capabilities (in applicable plans)
• Cloud storage and synchronization

3. Eligibility

You must be at least 13 years old to use PixelNotes. If you are under 18, you must have parental or guardian consent. By using the Service, you represent and warrant that you meet these requirements.

4. Account Registration

Creating an Account

• You may sign up using Google OAuth authentication
• You are responsible for maintaining the security of your account credentials
• You must provide accurate and complete information
• You may not share your account with others
• You must notify us immediately of any unauthorized access

Demo Mode

Demo Mode allows you to try PixelNotes without registration. Notes created in Demo Mode are stored locally in your browser and may be lost if you clear browser data.

5. User Responsibilities

Acceptable Use

You agree to use PixelNotes only for lawful purposes. You will NOT:

• Violate any local, state, national, or international law
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Impersonate any person or entity
• Harass, threaten, or harm others
• Use automated tools to scrape or extract data
• Reverse engineer or attempt to derive source code
• Resell or redistribute the Service without authorization

Content Responsibility

• You retain ownership of content you create in PixelNotes
• You are solely responsible for your content and its legality
• You grant us license to process your content to provide the Service
• We may remove content that violates these Terms

6. Subscription and Payment

Free Tier

PixelNotes offers a free tier with basic features. We reserve the right to modify or discontinue the free tier with 30 days notice.

Paid Plans

• Billing: Subscriptions are billed monthly or annually in advance
• Auto-Renewal: Subscriptions renew automatically unless cancelled
• Price Changes: We may change prices with 30 days notice
• Refunds: Refunds are provided within 14 days of initial purchase only
• Cancellation: You may cancel anytime; access continues until end of billing period

7. Intellectual Property

Our Rights

PixelNotes and all related technology, including but not limited to software, designs, logos, and trademarks, are owned by Creative Pixels. These Terms do not grant you any ownership rights.

Your Content

You retain all rights to content you create. By using PixelNotes, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store, process, and display your content to provide the Service
• Use AI/ML models to analyze and generate suggestions
• Create backups for data protection
• Share content you explicitly choose to share with others

This license ends when you delete your content or close your account.

8. Privacy and Data Protection

Your use of PixelNotes is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. Key points:

• We use encryption to protect your data
• We do not sell your personal information
• You can export or delete your data anytime
• We comply with GDPR, CCPA, and other regulations

9. AI Features and Limitations

PI (Pixel Intelligence)

Our AI assistant provides suggestions, summaries, and insights. Important disclaimers:

• AI suggestions may not always be accurate or appropriate
• You are responsible for reviewing and verifying AI-generated content
• We do not guarantee accuracy, completeness, or reliability of AI output
• AI features improve over time but may have limitations

Voice Input

• Voice transcription accuracy varies based on audio quality, accents, and language
• Audio is processed in real-time and not stored permanently
• You are responsible for reviewing transcribed content for accuracy

10. Service Availability

Uptime and Maintenance

• Free Tier: No uptime guarantee; service provided "as is"
• Team Plan: 99.5% uptime SLA
• Business Plan: 99.9% uptime SLA
• Enterprise Plan: Custom SLA available

Scheduled Maintenance

We may perform maintenance with advance notice. We strive to minimize disruption but cannot guarantee uninterrupted service.

11. Termination

By You

You may close your account anytime through account settings. Upon closure:

• Your subscription will not renew
• Access continues until end of billing period (paid plans)
• Data is retained for 30 days for recovery
• After 30 days, all data is permanently deleted

By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay for subscription services
• Pose a security or legal risk

We will provide notice when possible, but may act immediately for serious violations.

12. Disclaimers and Limitations of Liability

Service "As Is"

PIXELNOTES IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability, fitness for a particular purpose
• Non-infringement, security, or accuracy
• Uninterrupted or error-free operation
• Accuracy of AI suggestions or transcriptions

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CREATIVE PIXELS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages exceeding amount paid in past 12 months
• Third-party actions or content

13. Indemnification

You agree to indemnify and hold Creative Pixels harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of PixelNotes
• Your content or conduct
• Your violation of these Terms
• Your violation of any rights of another party

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Arbitration

Any disputes will be resolved through binding arbitration in Mumbai, India, rather than in court, except you may assert claims in small claims court.

Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or representative proceeding.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via:

• Email to your registered address
• In-app notification
• Updated date at top of this document

Continued use after changes constitutes acceptance. If you disagree, please stop using PixelNotes and close your account.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Creative Pixels regarding PixelNotes.

Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in effect.

No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

Assignment

You may not transfer or assign your rights. We may assign our rights to any affiliate or successor.

Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, wars, pandemics, etc.).
